Agreement Overview

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client” or “you”) and Tokom Software Pty Ltd (“Company,” “we,” “us,” or “our”). By accessing our website, engaging our services, or entering into any business relationship with us, you agree to be bound by these Terms.

Services Description

Tokom Software provides the following services:

  • Custom Software Development: Web applications, mobile apps, and enterprise software solutions
  • Cloud Infrastructure: AWS/Azure/GCP architecture, DevOps, and infrastructure management
  • AI/ML & Data Engineering: Machine learning solutions, data platforms, and analytics
  • IoT & Telematics: Connected device platforms and real-time monitoring systems
  • BPO Services: Customer support operations and business process outsourcing
  • Technical Consulting: Architecture review, technology strategy, and digital transformation
Client Responsibilities

As a client, you agree to:

  • • Provide accurate and complete information about your project requirements
  • • Respond to our communications in a timely manner
  • • Provide necessary access to systems, data, or personnel as required
  • • Respect our intellectual property rights and maintain confidentiality
  • • Pay invoices according to the agreed payment terms
  • • Provide constructive feedback during the development process
  • • Comply with all applicable laws and regulations
Payment Terms

Project-Based Services

  • • Projects require an initial deposit before commencement
  • • Milestone payments are due according to the project schedule
  • • Final payment is due upon project completion and handover
  • • Additional features or changes may incur extra costs

Time & Materials Engagements

  • • Billing is based on hours worked at agreed rates
  • • Invoices are issued bi-weekly or monthly
  • • Payment terms are net 14 days from invoice receipt

Late Payments

  • • Late payments may incur interest charges
  • • We reserve the right to suspend services until payment is received
  • • Persistent non-payment may lead to contract termination
Intellectual Property

Upon full payment, the client receives ownership of custom-built software deliverables unless otherwise specified in the SOW. We retain ownership of pre-existing tools, libraries, and methodologies used during the project.

Both parties agree to protect confidential information and not disclose proprietary information to third parties without consent.

Termination

Either party may terminate the agreement with written notice if:

  • • The other party breaches material terms and fails to remedy within 14 days
  • • The client fails to make payments as agreed
  • • Force majeure events prevent continuation of services

Upon termination, the client is responsible for all work completed up to the termination date, including hours worked and expenses incurred.

Support & Maintenance

Ongoing support is provided under separate maintenance agreements. Without an active support contract, post-launch updates are billed at standard rates.

Service level agreements (SLAs) for response and resolution times are defined in maintenance contracts.
